Termination of Use We may, at our sole discretion, terminate or suspend your access to any or all of the services offered through different channels without prior notice. This may be for your violation of these terms and condition or laws applicable in the UAE, or for other conduct which we, at our sole discretion believe is a breach of these terms, a violation of laws or international conventions or causes harm to others. In the event of such a termination, you will no longer be authorized to access these services and we shall use any means possible to enforce this termination.
Confidentiality You agree not to use any technical, financial, strategic and other proprietary and confidential information relating to AAA business, operations and properties, including User information disclosed to you by APP for your own use or for any purpose other than as contemplated herein. You shall not disclose or permit disclosure of any Confidential Information to third parties. You agree to take all reasonable measures to protect the secrecy of and avoid disclosure or use of confidential information in order to prevent it from falling into the public domain. Notwithstanding the above, you shall not have liability with regard to any Confidential Information which you can prove: was in the public domain at the time it was disclosed by AAA or has entered the public domain through no fault of yours; was known to you, without restriction, at the time of disclosure, as demonstrated by files in existence at the time of disclosure; is disclosed with the prior written approval of AAA and its affiliates; becomes known to you, without restriction, from a source other than us without breach of this Agreement by you and otherwise not in violation of our rights; or is disclosed pursuant to the order or requirement of a court, administrative agency, or other governmental body; provided, however, that You shall provide prompt notice of such court order or requirement to us to enable us to seek a protective order or otherwise prevent or restrict such disclosure.
Governing Law and Arbitration These Terms shall be exclusively governed by and construed in accordance with the federal laws of the United Arab Emirates. Any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction or its enforceability (any “Dispute”) shall be first mandatorily submitted to mediation proceedings under the applicable UAE law. If such Dispute has not been settled within sixty (60) days after a request for mediation has been submitted under such Mediation Rules, such Dispute can be referred to and shall be exclusively and finally resolved by arbitration under the Rules of Arbitration defined by UAE federal law. The Dispute shall be resolved by one (1) arbitrator to be appointed in accordance with the UAE Federal law. The place of both mediation and arbitration shall be Dubai, UAE. The language of the mediation and/or arbitration shall be Arabic. The existence and content of the mediation and arbitration proceedings, including documents and briefs submitted by the parties, correspondence from and to the authorities in UAE, correspondence from the mediator, and correspondence, orders and awards issued by the sole arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation stipulated herein.
Miscellaneous If any provision of this Agreement is invalid or unenforceable under applicable law, such provision will be deemed modified to the extent necessary to render such provision valid and enforceable and the other provisions of this Agreement will remain in full force and effect. This document and the pages referred to herein represent the entire agreement governing use of the services and supersede any prior or contemporaneous written or oral statements by our representatives or partners. The failure of AAA or its affiliates to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect.
